Terms of Service

01 Parties & Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you ("User") and AxonReady, operator of axonready.com and its subdomains including scilens.axonready.com. By creating an account or using any feature, you confirm: (a) you have read and understood these Terms; (b) you are at least 16 years old or have parental consent; (c) you have legal capacity to enter contracts; and (d) you consent to our Privacy Policy and Data Policy.

02 Description of Services

SciLens is an AI-assisted research analysis tool that processes uploaded documents (PDFs, images, figures, audio, video) using third-party LLM providers to generate summaries, analyses, and other outputs. Available under Free, Student, Pro, and Ultra tiers.

PeerDrop is a peer-to-peer, end-to-end encrypted file transfer service using WebRTC. AxonReady servers never store, intercept, or process PeerDrop files.

03 Third-Party AI Providers

SciLens transmits content to the following providers. By using SciLens you explicitly consent to this transmission:

AxonReady does not control how providers store, use, or retain your submitted data. Review the Data Policy for full disclosure.

04 Acceptable Use

You agree to use AxonReady only for lawful purposes. You are prohibited from:

• Uploading content you do not have the legal right to process through the platform;
• Uploading classified, export-controlled (ITAR/EAR), or government-restricted materials;
• Uploading personal health information (PHI) subject to HIPAA without a separate data processing agreement;
• Attempting to reverse-engineer, scrape, or automate platform access beyond authorized use;
• Using SciLens outputs to commit academic fraud, plagiarism, or misrepresentation;
• Circumventing security measures, authentication, or access controls;
• Using PeerDrop to distribute malware, pirated content, or illegal material.

05 User-Uploaded Content & Copyright Responsibility

By uploading any document, image, audio, video, or other content ("User Content") to SciLens, you represent and warrant that:

• You own the content, hold a valid license, or have a legally recognized right (e.g., fair use, institutional access, open access license) to upload and process it through an AI analysis service;
• Your upload and use of the content does not infringe, misappropriate, or violate any third-party copyright, patent, trademark, trade secret, or other intellectual property right;
• Content obtained from unauthorized repositories, piracy sites, or shadow libraries (such as Sci-Hub, Library Genesis, or similar platforms) may be protected by copyright and uploading such content may constitute infringement — AxonReady is not responsible for such uploads and you indemnify us fully against any resulting claims;
• Academic papers, journal articles, and research documents are frequently protected by publisher copyright. Having institutional access does not automatically grant you the right to process them through third-party AI services.

Platform Role: AxonReady operates as a passive conduit and storage provider with respect to User Content. We do not select, curate, or monitor individual uploads. This limits our liability under the safe harbor provisions of applicable law (including 17 U.S.C. § 512 in the United States and Article 17 of the EU Copyright Directive as implemented in applicable jurisdictions).

AxonReady reserves the right — but has no obligation — to remove User Content that is reported as infringing or that we reasonably believe violates applicable law or these Terms.

06 Copyright Notices & DMCA Takedown

If you believe that content processed or stored on AxonReady infringes your copyright, you may submit a takedown notice to our designated agent in accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512:

Your notice must include: (a) identification of the copyrighted work; (b) identification of the infringing content and its location on our platform; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act; (f) your physical or electronic signature.

Counter-Notice: If you believe content was removed in error, you may submit a counter-notice to the same address. We will reinstate content after 10–14 business days unless the original complainant files a court action.

Repeat Infringers: AxonReady will terminate accounts of users who are determined to be repeat copyright infringers.

07 Export & Downstream Use of AI Outputs

SciLens allows you to export AI-generated outputs including summaries, figure analyses, citation extractions, annotations, and structured data. Regarding these exports, you acknowledge and agree that:

• No reproduction warranty: AI-generated outputs are derived analyses, not verbatim reproductions of copyrighted source material. However, outputs may contain paraphrased or summarized content from protected works. You are responsible for ensuring any such content is used in compliance with applicable copyright law;
• Academic and publication use: If you incorporate SciLens exports into academic papers, thesis work, or published research, you are solely responsible for complying with your institution's academic integrity policies, journal policies, and applicable law. AxonReady assumes no liability for academic misconduct, publication rejection, or plagiarism claims arising from your use of exports;
• Commercial redistribution: You may not sell, license, or commercially redistribute AI-generated analyses derived from copyrighted source material without first securing appropriate rights to the underlying content;
• No downstream liability: AxonReady is not liable for any harm, claim, dispute, or legal action arising from how you use, share, publish, or distribute content after it has been exported from SciLens;
• Third-party AI processing: Exported outputs were generated by third-party AI providers (see Section 3). Their accuracy, completeness, and fitness for any specific purpose is not guaranteed. You are responsible for verifying all exported content before relying on it.

08 Academic Disclaimer

SciLens is a research assistance tool. AI-generated outputs may be inaccurate, incomplete, outdated, or fabricated ("hallucinated").

09 Intellectual Property

Your Content: You retain ownership of all documents you upload. By uploading, you grant AxonReady a limited, non-exclusive, royalty-free license to process and store content solely to provide the services.

AI Outputs: You are granted a license to use outputs subject to the terms of the relevant AI provider. AxonReady does not warrant that AI outputs are original or free from third-party claims.

Platform IP: The AxonReady platform, software, design, and branding are owned by AxonReady. You may not reproduce, distribute, or create derivative works without express written permission.

10 Accounts & Security

You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately at contact@axonready.com if you suspect unauthorized access. AxonReady is not liable for losses from unauthorized use resulting from your failure to protect your credentials.

11 Subscription, Billing & Refunds

Paid subscriptions are billed via Stripe, Inc. on a recurring monthly or annual basis.

• Cancellation: Cancel anytime via the Stripe Customer Portal. Access continues until the end of the current billing period.
• Refunds: Non-refundable except where required by law (e.g., EU 14-day digital services right). Submit statutory refund requests to contact@axonready.com.
• Plan Changes: Upgrades are immediate and prorated. Downgrades take effect at the next billing cycle.
• Price Changes: We provide 30 days' notice before price changes. Continued use constitutes acceptance.

12 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AXONREADY DISCLAIMS ALL WARRANTIES — EXPRESS OR IMPLIED — INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXONREADY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, ACADEMIC PENALTIES, PUBLICATION REJECTION, COPYRIGHT CLAIMS FROM UPLOADED CONTENT, DOWNSTREAM USE OF EXPORTS, THIRD-PARTY AI PROVIDER FAILURES, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM; OR (B) USD $100.

14 Indemnification

You agree to indemnify and hold harmless AxonReady and its officers, directors, employees, and contractors from any claims, liabilities, damages, losses, costs, or fees (including attorneys' fees) arising from: (a) your violation of these Terms; (b) your User Content, including any copyright infringement claims related to content you uploaded; (c) your use or distribution of AI outputs; (d) your violation of any third party's rights; or (e) your downstream use of exported content.

This indemnification expressly covers claims by copyright holders, publishers, academic institutions, or any third party arising from your decision to upload documents obtained from unauthorized sources.

15 Termination & Suspension

AxonReady may suspend or terminate your account with or without notice if you: (a) violate these Terms; (b) abuse rate limits or scrape the platform; (c) upload prohibited or infringing content; (d) are identified as a repeat copyright infringer; or (e) engage in conduct posing legal or reputational risk to AxonReady. Sections 5, 6, 7, 9, 12, 13, 14, 16, and 17 survive termination.

16 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Informal Resolution: Contact contact@axonready.com first and allow 30 days for informal resolution before filing any formal claim.

Arbitration: Unresolved disputes are settled by binding individual arbitration under AAA rules. You waive any right to class action or class-wide arbitration.

Exception: Either party may seek injunctive relief in court to protect intellectual property.

EU/EEA Users: Consumers in the EU may also use the EU Online Dispute Resolution platform ↗.

17 Miscellaneous

• Entire Agreement: These Terms, Privacy Policy, Academic Disclaimer, and Data Policy constitute the entire agreement between you and AxonReady.
• Severability: If any provision is unenforceable, remaining provisions stay in force.
• No Waiver: Failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our written consent. We may assign them in a merger or acquisition.
• Force Majeure: We are not liable for failures caused by events beyond our control: natural disasters, cyberattacks, government actions, or third-party provider outages.
• Updates: Material changes are notified via email or in-app at least 14 days before taking effect. Continued use constitutes acceptance.
